The companies announced a definitive agreement on October 15, offering $49.75 in cash for each Varonis share. They expect the transaction to close in the first half of 2027.

Proofpoint has agreed to acquire Varonis Systems in a cash transaction valued at approximately $6.3 billion, the companies announced on October 15. The proposed combination brings together Proofpoint’s protection against threats targeting people and communications with Varonis’s tools for securing organisational data.

Varonis was founded by Israeli entrepreneurs and has a development centre in Israel. Cofounder and chief executive Yaki Faitelson said the deal would help the company pursue its mission more quickly. The announcement is an agreement to acquire the business, with completion still dependent on the required approvals.

Cash offer and approval process

Under the agreement, Varonis shareholders would receive $49.75 in cash for each share they hold. The Varonis board unanimously approved the transaction, according to the joint announcement filed with the US Securities and Exchange Commission.

The companies expect completion in the first half of 2027, subject to approval by Varonis shareholders, regulatory clearances and other customary closing conditions. Until then, Proofpoint and Varonis will continue to operate as separate businesses.

Once the transaction closes, Varonis would become a private company and its shares would cease trading on Nasdaq. Those changes depend on completion; they did not take effect when the agreement was announced.

Connecting people, data and AI security

The companies framed the acquisition around the growing use of artificial intelligence inside organisations. AI tools and agents can interact with large amounts of sensitive information, making access permissions and the visibility of data an important part of security planning.

Varonis focuses on finding sensitive data, understanding who can access it and reducing unnecessary exposure. Proofpoint’s existing business includes protection against threats delivered through email and other communication channels. The proposed combination would bring these functions under one corporate owner.

In a message to customers, Faitelson described the risk of AI systems reaching information that existing permissions leave too widely accessible. The companies’ plans concern future integration and product development, rather than a claim that a combined platform is already available.

What customers are being told

Faitelson said existing Varonis customer relationships would continue during the process. Account teams, support arrangements and contracts remain in place for now, according to his October 15 message. He also said Varonis would provide regular updates to customers as the transaction moves through the approval process.

That distinction matters for organisations using the products: signing an acquisition agreement does not itself move their services to a new platform. The companies have presented the transaction as a strategic expansion while maintaining their current operations during the approval period.

Financing and the next scheduled update

The transaction is backed by equity and debt financing commitments, with Thoma Bravo supporting Proofpoint and Ontario Teachers’ Pension Plan providing an investment, according to the companies’ announcement.

Varonis plans to release its third quarter financial results on November 3 after the US market closes. In view of the pending transaction, it said it would not hold the usual earnings conference call.
